Article 1. Definitions
In these general terms and conditions, the following terms shall have the following meanings:
· Quotation: Any offer made by Studio Keylight to (legal) persons with the intention of concluding an agreement.
· Agreement: The contract for services between Studio Keylight and the client.
· Assignment: The service or product to be delivered by Studio Keylight.
· Photographer: Studio Keylight, Geleen, KvK 89334078, user of these general terms and conditions and the contractor.
· Client: The (legal) person with whom has been entered into an agreement and accepts these terms and conditions.
· Cancellation: Termination or dissolution of the agreement
· In Writing: Communication, such as email or written text, whose identity and authenticity are sufficiently established.
· AVG (GDPR): General Data Protection Regulation. Privacy legislation.
· Use: Reproduction and/or publication as defined in the Dutch Copyright Act of 1912.
Article 2. Applicability
These general terms and conditions apply to all legal relationships between the photographer and the client, as well as to all quotations, offers, and agreements. Deviations from these terms and conditions are only binding if explicitly accepted in writing by the photographer.
Article 3. Offer
The photographer makes an offer in the form of a digital quotation or price list. Unless otherwise agreed, the offer expires 30 days after the date of dispatch. Price indications in offers and quotations are subject to change due to (unforeseen) alterations in work or cost increases.
Article 4. Acceptance
The client must explicitly accept the offer in writing or digitally. If the client fails to do so but the photographer proceeds with the work, the offer shall be deemed accepted. The photographer reserves the right to refuse assignments under unacceptable circumstances.
Article 5. Execution
The photographer shall carry out the assignment to the best of their knowledge and ability, in accordance with the standards of good craftsmanship. The client must ensure the most favorable conditions for the photographer and take necessary measures where required. Post-processing of images is limited to basic optimization, such as cleaning up and removing unwanted objects at the photographer’s discretion. Extensive editing, such as altering or adding elements to the photo, is not included in the photographer’s offer.
Article 6. Delivery
The estimated delivery time for photoshoots is 14 days, starting the day after the shoot has taken place, unless otherwise agreed. Digital files will be encrypted with a password and delivered via SwissTransfer or a similar service. Photo books will only be printed after written approval from the client. Once approved and received, any reprints of a new design at the client's request will be charged separately. This does not apply to reprints due to errors made by the printing company.
Article 7. Fees and Payment
If no fee has been agreed upon, the photographer's customary rate, which will be discussed in advance, shall apply. Payment must be made within 14 days from the invoice date, unless otherwise agreed. In case of late payment, the photographer reserves the right to suspend further work.

If the client cancels the assignment, the photographer will charge 35% of the total price unless another arrangement is agreed upon. In the event of force majeure or illness of the photographer, a replacement will be arranged or an alternative date will be agreed upon.
Article 9. Complaints
Complaints regarding the execution of the agreement must be submitted in writing within 7 days after receipt of the photo files.
Article 10. Copyright
The copyright of the created images remains with the photographer. The client receives a non-exclusive license to use the images for private purposes. Business or commercial use without written permission is not allowed. Proper attribution of the photographer’s name is required when publishing the images.
Article 11. Portrait Rights
The photographer reserves the right to use the images for their own promotional purposes and publications, including but not limited to their website, blog, portfolio, advertisements, social media, magazine articles, printed materials, and trade show materials, unless otherwise agreed. The photographer also reserves the right to license the images to third parties for promotional purposes. Objections to the publication of portraits must be communicated to the photographer in writing before entering into the agreement. Any deviations from these terms shall be recorded in writing.
Article 12. Liability
The photographer is not liable for any damages incurred by the client, unless caused by intent or gross negligence on the part of the photographer or their representatives. The photographer is not responsible for color deviations on non-calibrated screens or prints that were not supplied by the photographer. Liability is limited to the invoice amount.
Article 13. Privacy and AVG
The photographer processes personal data in accordance with the AVG (GDPR) and does not share this information with third parties without consent, unless legally required. Personal data is used exclusively for communication and business operations and will not be shared with third parties without the explicit consent of the user.
Article 14. Cookies
The photographer's website may use cookies to analyze visitor behavior and enhance the user experience.
Article 15. Amendments
The photographer reserves the right to modify or supplement these general terms and conditions. Any changes will be communicated to the client in a timely manner and in writing. If the client does not accept a proposed change, they may terminate the agreement up to the date on which the new general terms and conditions take effect.
Article 16. School Photography
The copyright for the images created remains with the photographer. The school is granted a non-exclusive license to use the images for both private and business purposes. For commercial or public use, the responsibility for complying with the AVG (GDPR) lies with the school. The photographer cannot be held liable for any AVG (GDPR) violations by the school. According to the AVG (GDPR), parents/guardians must respect the privacy of other students. The distribution, in any form, of group photos in which other students are visible is only allowed with the written consent of the involved parties and the school.
Article 17. Enforcement
The photographer reserves the right to take legal action in the event of a violation of these terms, including recovering costs from offenders.
Article 18. Provisions
If any provision of the agreement and/or these general terms and conditions is found to be void or unenforceable, the remaining provisions and the agreement shall remain in effect. All legal relationships between the photographer and the client are governed by Dutch law.
Disclaimer
The information provided by the photographer is sourced from reliable sources; however, accuracy and completeness cannot be guaranteed. All texts, logos, images, and other materials on the photographer’s website are protected by copyright. Copying, distributing, or using any material from the website for commercial purposes is only permitted with written consent from the photographer.
Liability
The photographer is not liable for damages resulting from the use of information on the website. Typographical and spelling errors are reserved.
Rates
Rates are available upon request. The photographer reserves the right to adjust prices, including inflation corrections on ongoing quotations.
